1. Acceptance of These Terms; Eligibility

By accessing or using the Site, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and able to enter into a binding contract, or that you are using the Site under the supervision of such a person. If you use the Site on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Changes to These Terms

We may modify these Terms at any time. When we do, we will post the revised Terms here and update the "Effective Date" above. If we make material changes, we will provide reasonable notice as required by applicable law. Your continued use of the Site after the revised Terms take effect constitutes your acceptance of them, so please review this page periodically.

3. Informational Purpose; No Binding Offer or Quote

The content on the Site — including service descriptions, general pricing or estimate ranges, promotions, and blog or learning-center articles — is provided for general informational purposes only, in good faith. It may contain errors or omissions and is subject to change without notice.

Nothing on the Site constitutes a binding offer, quote, warranty, or guarantee of price, availability, results, or suitability for your specific situation, and no contract for services is formed merely by your use of the Site. The Site is not a substitute for a professional assessment of your property or equipment.

4. Service Requests, Estimates, and Service Agreements

Submitting a form or contacting us is a request for service or information — not a confirmed booking. Appointments are confirmed by us directly. Any estimate becomes binding only when it is provided in writing by an authorized representative of All Seasons HVAC following an assessment of your needs and is accepted in accordance with its terms.

The actual performance of any HVAC work is governed by a separate written service agreement, work order, and/or invoice between you and All Seasons HVAC (a "Service Agreement"). To the extent a signed Service Agreement conflicts with these Terms with respect to the work it covers, the Service Agreement controls for that work. Any warranties on labor or equipment are as stated in the applicable Service Agreement and/or the manufacturer's warranty; the Site itself creates no warranty.

5. Intellectual Property, Trademarks, and License

The Site and its content — including text, graphics, logos, images, layout, and design, as well as the selection and arrangement of that content — are owned by All Seasons HVAC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. The All Seasons HVAC name, logos, and related marks are our trademarks; other marks appearing on the Site belong to their respective owners, and nothing here grants you a license to use them.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial, informational purposes in accordance with these Terms. You may not copy, reproduce, distribute, republish, frame, scrape, data-mine, reverse engineer, create derivative works from, or commercially exploit any part of the Site without our prior written consent.

6. Acceptable Use of the Site

You agree that you will not:

• Violate any applicable law or regulation, or infringe the rights of others;
• Upload or transmit viruses, malware, or other harmful code, or attempt to gain unauthorized access to the Site, our systems, or other users' data;
• Interfere with, disrupt, overburden, or impair the Site or its security features (including reCAPTCHA);
• Use any robot, spider, scraper, or other automated means to access or collect data from the Site;
• Misrepresent your identity or affiliation, or submit false, misleading, or fraudulent information;
• Use the Site to send unsolicited communications or for any unlawful or abusive purpose.

We may investigate suspected violations and take appropriate action, including suspending or terminating your access to the Site.

7. Your Submissions and Accuracy of Information

You are responsible for the accuracy and completeness of the information you provide through the Site, and you agree to keep it current. By submitting content to us — such as messages, form responses, reviews, or job-application materials including a résumé — you grant All Seasons HVAC a non-exclusive, royalty-free, worldwide license to use that content for the purpose for which you provided it and to operate and improve our Services. You represent that you have the right to provide the content and that it is not unlawful or infringing. We handle the personal information in your submissions as described in our Privacy Policy.

8. Consent to Be Contacted (Email, Phone, and Text/SMS)

By providing your contact information and/or opting in, you consent to be contacted by All Seasons HVAC at the email address and telephone number you provide — including by phone, email, and text message, and including through automated technology and prerecorded or artificial voice messages where applicable — regarding your request, estimates, scheduling, service, and account, and, where you separately agree, marketing communications.

Consent to receive marketing calls or texts is not a condition of purchasing any product or service. Message frequency varies, and message and data rates may apply. Reply STOP to opt out of texts or HELP for help. You confirm that you are the subscriber or customary user of any number you provide and that you will notify us if it changes. Additional details are in Section 12 of our Privacy Policy.

9. Third-Party Services, Links, and Financing

The Site uses and links to third-party services — including Google Analytics, Google reCAPTCHA, and Google Maps — and may link to other third-party websites or to financing partners. We do not control and are not responsible for the content, products, services, or privacy and security practices of any third party. Your use of third-party services is subject to their own terms and policies, and our inclusion of a link or integration does not imply endorsement.

Any financing that may be offered is provided by third-party lenders and is subject to their credit approval and terms. All Seasons HVAC is not the lender and does not guarantee approval or any particular financing terms.

10. AI-Assisted Features

The Site and our communications may include features that are assisted or generated by artificial intelligence or automation — such as generated content, chat or virtual-assistant tools, and automated responses. These features are provided for your convenience on an "as is" basis. They may produce information that is inaccurate, incomplete, or out of date, and they do not constitute professional, HVAC, engineering, safety, financial, or legal advice.

Do not rely solely on AI-generated output; please verify any important information with a qualified member of our team before acting on it. To the fullest extent permitted by law, we are not liable for actions taken in reliance on AI-assisted content. See Section 5 of our Privacy Policy for how AI may process information.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, including the laws of the State of Iowa, the Site and all content and features are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the content is accurate, current, or complete. Because some jurisdictions do not allow the exclusion of certain implied warranties, some of these exclusions may not apply to you. This Section does not affect any warranty expressly provided in a signed Service Agreement.

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will All Seasons HVAC or its owners, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Site or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). These limitations do not apply to liability that cannot be excluded or limited under applicable law. Claims relating to the actual performance of HVAC services are governed by the applicable Service Agreement rather than these Terms.

13. Indemnification

You agree to defend, indemnify, and hold harmless All Seasons HVAC and its owners, officers, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your submissions, your violation of these Terms or any applicable law, or your infringement of any third-party right. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Dispute Resolution, Arbitration, and Class-Action Waiver

Please read this Section carefully — it affects your legal rights, including your right to go to court. This Section is governed by the Federal Arbitration Act.

14.1 Informal resolution first

Before initiating arbitration, you agree to first contact us in writing at the address in Section 18 and describe your dispute, and the parties will attempt in good faith to resolve it informally within sixty (60) days.

14.2 Binding arbitration

If the dispute is not resolved, you and All Seasons HVAC agree that any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (or another mutually agreed administrator) under its applicable consumer rules, rather than in court. The arbitration will be seated in Polk County, Iowa, or, where required by law, in your county of residence. The arbitrator's award may be entered in any court of competent jurisdiction.

14.3 Class-action and jury-trial waiver

You and All Seasons HVAC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. To the extent permitted by law, you and All Seasons HVAC waive any right to a jury trial.

14.4 Your right to opt out

You may opt out of this arbitration agreement and class-action waiver within 30 days of first accepting these Terms by emailing us at [email protected] with your name and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

14.5 Exceptions and survival

Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual-property rights. This Section survives termination of these Terms. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and heard in a court of competent jurisdiction.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Iowa, without regard to its conflict-of-laws principles. Subject to the arbitration agreement in Section 14, you agree that the exclusive jurisdiction and venue for any permitted court action will be the state and federal courts located in Polk County, Iowa, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the license granted to you ends. All provisions of these Terms that by their nature should survive termination — including intellectual property, the submissions license, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and the general provisions — will survive.

17. General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and All Seasons HVAC regarding the Site and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.

No third-party beneficiaries; relationship. These Terms create no third-party beneficiary rights, and nothing in them creates any agency, partnership, or joint venture between you and All Seasons HVAC. Section headings are for convenience only. You consent to receive communications and notices from us electronically.
